These Terms of Service ("Terms") govern your use of the website at takyo.app and any services provided by Takyo ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Acceptance of Terms

By using our website or engaging Takyo for any services, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. These Terms apply to all visitors, users, and clients.

2. Services

Takyo is a software development studio that provides custom software services including, but not limited to:

  • Web platform development
  • Backend infrastructure and API development
  • Bot development (Discord, Telegram, and others)
  • Automation tools and workflows
  • Ongoing maintenance and hosting management

The specific scope, deliverables, timeline, and pricing for each project will be agreed upon in writing between Takyo and the client before work begins. Any such written agreement will supplement these Terms and, in the event of a conflict, the project-specific agreement will prevail.

3. Payment Terms

Unless otherwise agreed in writing, the following payment structure applies to all projects:

  • 50% of the total project cost is due upfront before work begins
  • The remaining 50% is due upon project completion and delivery

Payment is considered overdue if not received within 14 days of the invoice date. We reserve the right to pause or suspend work on any project with outstanding payments. All fees are non-refundable once work has commenced, except where otherwise required by law or agreed upon in writing.

4. Intellectual Property

Unless explicitly stated otherwise in a project-specific agreement:

  • Takyo retains full ownership of all source code, designs, systems, and other intellectual property created during the course of a project
  • Upon full payment, the client is granted a non-exclusive, perpetual, royalty-free license to use, deploy, and operate the delivered software for their business purposes
  • The client may not resell, sublicense, or redistribute the source code or any derivative works without Takyo's prior written consent
  • Takyo reserves the right to reuse general-purpose code, libraries, components, and techniques across projects

Any pre-existing intellectual property that either party brings to a project remains the property of its original owner. If a full ownership transfer is required, this must be agreed upon in writing and may be subject to additional fees.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes, but is not limited to, business plans, technical specifications, user data, access credentials, and financial information. Confidential information will not be disclosed to third parties without the other party's prior written consent, except where required by law.

This confidentiality obligation survives the termination of any engagement and remains in effect indefinitely, unless the information becomes publicly available through no fault of the receiving party.

6. Client Responsibilities

To ensure timely and successful delivery, clients agree to:

  • Provide accurate and complete project requirements
  • Supply any necessary content, assets, or access credentials in a timely manner
  • Respond to questions and provide feedback within a reasonable timeframe
  • Designate a primary point of contact for project communication

Delays caused by the client's failure to fulfill these responsibilities may result in adjusted timelines and, where applicable, additional costs.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Takyo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project. This limitation applies regardless of the legal theory on which the claim is based.

We provide our services on an "as is" basis and do not guarantee that delivered software will be entirely free of bugs or errors. We will, however, make reasonable efforts to address any issues identified within a mutually agreed-upon period after delivery.

8. Termination

Either party may terminate a project engagement by providing written notice to the other party. In the event of termination:

  • The client is responsible for payment for all work completed up to the date of termination
  • If the client terminates after the upfront payment, the upfront payment is non-refundable
  • If Takyo terminates without cause, we will refund any payment for work not yet completed
  • Upon termination, each party will return or destroy any confidential materials belonging to the other party

Takyo reserves the right to terminate an engagement immediately if the client breaches these Terms, engages in unlawful activity, or fails to make payment within 30 days of the due date.

9. Warranties and Disclaimers

Takyo warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. Beyond this warranty, our services are provided "as is" without any other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or our services will be resolved through good-faith negotiation. If a resolution cannot be reached, both parties agree to pursue mediation before initiating any legal proceedings.

11. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated "Last updated" date. For active clients, we will make reasonable efforts to notify you of material changes. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
